Offer to acquire at least 51% of the entire issued share capital of Ayrton Drug
Manufacturing Limited ("Ayrton")
1.  Introduction
Further to the announcement dated 23 November 2009, Adcock hereby advises
holders of ordinary shares in Adcock ("Adcock shareholders") that the document
containing the conditional offer by Adcock, on behalf of Adcock Ingram
International (Proprietary) Limited, to the holders of the issued ordinary
shares in Ayrton ("Ayrton shareholders") to acquire at least 51% of the entire
issued ordinary share capital of Ayrton at a price of GHCents (USD)0.16 per
Ayrton share ("the Offer") has been posted to Ayrton shareholders.
The Offer opened on Monday, 15 February 2010 and expires on Monday, 29 March
2010.
The Board of Directors of Ayrton has approved the Offer and has recommended that
Ayrton shareholders accept the Offer.
2.  Further announcements
Adcock shareholders will be kept informed of the progress in regard to this
transaction by way of further announcements on SENS.
